Please read this End-User License Agreement (“Agreement”) carefully before you install or use any MIA Laboratories software. By clicking “I Agree”, installing, activating or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. Who we are

This Agreement is between you (an individual or a single legal entity) and MIA LABORATORIES OE, 8 Galinis Street, 14122 Neo Irakleio, Athens, Greece, VAT number EL800934056, GEMI number 145261908000 (“MIA Laboratories”, “we”, “us”). Contact: [email protected] (technical and licensing) and [email protected] (orders and refunds).

2. Definitions

  • Software: any MIA Laboratories audio plug-in or application, in any format (AAX, AU, VST3 or other), including installers, presets, documentation and updates we provide.
  • Licence: the right to use the Software granted under this Agreement, identified by a licence key, activation code or account entitlement.
  • Activation: authorising the Software on a computer, cloud account or hardware key through the licence activation system we provide.
  • Consumer: an individual acting for purposes outside their trade, business or profession.

The Software is licensed, not sold.

3. Licence grant

When you obtain a valid Licence, MIA Laboratories grants you a perpetual, worldwide, non-exclusive, limited licence to install and use the Software, subject to this Agreement. The Licence continues for as long as you comply with this Agreement and may end only as described in section 12.

You may install the Software on as many of your own computers as you like, but you may have it activated on no more than two (2) computers, cloud accounts or hardware keys at the same time per Licence, unless the product page or your order states otherwise. You may move an activation from one location to another.

4. Licence types

  • Full Licence: a paid, perpetual Licence for one product or bundle.
  • Upgrade Licence: a Licence for a newer version or a larger bundle, sold at a reduced price to owners of a qualifying Licence. Where an upgrade replaces the qualifying Licence, the qualifying Licence ends when the upgrade is activated, and the two may not be used or transferred separately.
  • Trial: a full-featured evaluation of the Software for a limited period (currently 14 days), for evaluation only. It stops working when the trial period ends.
  • Free Software: products we offer at no charge (such as Border, Fat, Thin and Muscle). You may use them for personal and commercial work under this Agreement, but you may not sell, rent or redistribute them, or bundle them with other products, without our written permission.
  • Not For Resale (NFR): Licences we give to press, endorsers, educators or partners. NFR Licences may not be sold.

5. Activation and copy protection

The Software uses a licence activation system to confirm that a Licence is valid. We may change, update or replace this system at any time, for example to move from one licensing provider to another. If we do, we will make sure that every valid Licence, including Licences purchased before the change, can still be activated and used, and we will provide the tools or instructions needed to do so free of charge.

Activation may require an internet connection at least once. Some activation methods may require a free third-party account or utility.

6. Transfer of a Licence

You may transfer your Licence to another person wherever the licence activation system allows it. MIA Laboratories does not block transfers and does not charge for them. Any fee or condition set by the licensing provider for its transfer process applies. When you transfer a Licence, you must deactivate and stop using the Software, and the new owner accepts this Agreement.

Except by transfer as described above, you may not sell, rent, lease, lend, sublicense or share your Licence.

7. Restrictions

You agree not to, and not to let others:

  • copy the Software except as needed to install and back it up;
  • sell, rent, lease, lend, share or redistribute the Software or a Licence, except as allowed in section 6;
  • remove, disable or circumvent the licence activation system or any other technical protection;
  • modify, make derivative works of, decompile, disassemble or reverse engineer the Software, except to the extent that applicable law expressly permits this despite this restriction;
  • remove, alter or hide any copyright, trademark or other notice in the Software;
  • use the Software in breach of any applicable law.

8. Intellectual property and your audio

The Software, including its code, algorithms, designs, graphics, presets and documentation, and all related intellectual property rights, belongs to MIA Laboratories or its licensors. Nothing in this Agreement transfers ownership to you.

Your audio is yours. You own the audio, mixes and recordings you create with the Software, and you may use them for any personal or commercial purpose without paying us any royalty or credit.

If you send us feedback, ideas or suggestions, you agree that we may use them freely, without any obligation to you.

9. Updates and upgrades

We may release updates (bug fixes, compatibility updates and minor improvements) and new versions of the Software. Updates within the same major version are free to Licence holders. New major versions (for example MkII to MkIII) may be offered as paid upgrades. We are not obliged to provide any update, new version or support for any operating system, host or format, except where applicable consumer law requires it.

10. Purchases, resellers and refunds

You may buy a Licence from us directly or from an authorised reseller or distributor. Where a reseller or payment provider acts as the seller of record, your purchase is also subject to its terms of sale, but your Licence to use the Software is always granted by MIA Laboratories under this Agreement. Licences bought from unauthorised sources are not valid.

For direct purchases, you may cancel within 30 days of purchase, without giving a reason, by emailing [email protected]. We will deactivate the Licence and refund you within 14 days through the original payment method. This is in addition to, and not instead of, any statutory withdrawal right you have as a Consumer. Purchases from resellers follow the reseller’s refund policy. When a purchase is refunded or charged back, the related Licence ends.

11. Privacy and third-party components

Activation and licence checks send limited technical data to us or our licensing provider, such as your licence key, a machine identifier and the product version. We use this data only to manage Licences, prevent misuse and provide support. Our Privacy Policy explains how we process personal data.

The Software may include or rely on third-party components, utilities or services, which are subject to their own terms. Links to third-party websites are provided for convenience only.

Trademarks. VST is a trademark of Steinberg Media Technologies GmbH, registered in Europe and other countries. AAX and Pro Tools are trademarks of Avid Technology, Inc. Audio Units, Logic Pro and macOS are trademarks of Apple Inc. All other trademarks belong to their respective owners. MIA Laboratories, the MIA logo and our product names are trademarks of MIA Laboratories.

12. Term and termination

This Agreement starts when you accept it and continues for as long as you hold a valid Licence. You may end it at any time by uninstalling the Software and deleting all copies.

MIA Laboratories may end your Licence only if:

  • you materially breach this Agreement and, where the breach can be remedied, do not remedy it within 14 days of our notice; or
  • the purchase is refunded, cancelled or charged back, or the Licence was obtained by fraud or from an unauthorised source.

When the Licence ends, you must stop using the Software and delete all copies. Sections 8, 13, 14, 15 and 17 continue to apply after termination.

13. Warranty

We provide the Software with a full-featured trial so you can check that it suits your system and needs before you buy. To the extent permitted by applicable law, the Software is provided “as is”, and we do not promise that it will be error-free, run without interruption, or work with every computer, operating system, host or plug-in format.

If you are a Consumer, you have legal rights regarding digital content that conforms to the contract, including the right to have a defect fixed or to a price reduction or refund. Nothing in this Agreement limits those rights.

14. Limitation of liability

To the extent permitted by applicable law, MIA Laboratories is not liable for indirect, incidental, special or consequential loss, including loss of data, profits or business, arising from the use of or inability to use the Software. Our total liability under this Agreement is limited to the amount you paid for the Licence concerned.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for intent or gross negligence, or any other liability that cannot be excluded or limited by law. Please keep backups of your projects and audio.

15. Your statutory rights

If you are a Consumer, you keep all rights given to you by the mandatory consumer protection law of the country where you live. Where this Agreement conflicts with those rights, those rights prevail.

16. Changes to this Agreement

We may update this Agreement, for example to reflect changes in law or in our licensing system. We will publish the updated version on our website with its date, and give at least 30 days’ notice of material changes. No change will reduce the rights attached to a Licence you have already paid for. If you do not accept a change that affects you, you may keep using the version of the Software you already have under the terms in force when you bought it.

17. Governing law and disputes

This Agreement is governed by the laws of Greece, excluding its conflict of law rules. If you are a Consumer, this does not deprive you of the protection of the mandatory laws of your country of residence, and you may bring a claim in the courts of your country of residence. For all other customers, the courts of Athens, Greece have exclusive jurisdiction.

18. General

  • Severability: if any provision is found invalid or unenforceable, it will be applied to the greatest extent permitted, and the rest of the Agreement stays in force.
  • No waiver: if we do not enforce a right, we do not give it up.
  • Entire agreement: this Agreement, together with any terms shown at the time of purchase, is the entire agreement between you and us about the Software.
  • Language: if this Agreement is translated, the English version prevails, except where the law requires otherwise.
